Terms of service
Effective 13 October 2026
These Terms of Service (the “Terms”) are a binding agreement between you and VisitProof LLC, doing business as NoteHouse (“NoteHouse”, “we”, “us”, “our”), governing your access to and use of the NoteHouse website at notehouse.io, the NoteHouse application, and all related services, content and documents (together, the “Service”).
By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. These Terms contain a mandatory arbitration provision and class action waiver in Section 19 that affect how disputes with NoteHouse are resolved. Please read it.
What NoteHouse is and is not
NoteHouse is software that helps private parties document, track and service loans between themselves. It generates promissory notes and related documents from terms the parties enter, collects electronic signatures, computes amortization schedules, keeps a ledger of payments, sends notices, and, where available, lets a borrower authorize bank debits that are paid directly to the lender through a third-party payment processor.
NoteHouse is not a bank, a lender, a creditor, a loan broker or arranger, a mortgage lender or originator, a loan servicer, a debt collector, a money transmitter, a payment processor, an escrow agent, a trustee, a fiduciary, or an investment adviser. NoteHouse does not lend money, extend credit, hold or transmit funds, set or recommend loan terms, make or influence credit decisions, verify the creditworthiness of any person, guarantee repayment, or collect debts on anyone’s behalf. NoteHouse is not a party to, and does not guarantee or insure, any loan documented through the Service, and has no obligation to either party under any such loan.
NoteHouse does not provide legal, tax, accounting, financial or investment advice. Templates, calculators, guides, glossary entries and explanations in the Service are general information, are not tailored to your circumstances, may not reflect the law of your state, and may be out of date. No attorney-client, fiduciary or advisory relationship is created by your use of the Service. You should consult a licensed attorney and a qualified tax adviser before entering into any loan.
The Service is intended for use in the United States for loans between parties located in the United States. We make no representation that the Service or documents generated by it are appropriate or lawful outside the United States.
Eligibility
You may use the Service only if you are at least 18 years old, are capable of forming a binding contract, are not barred from using the Service under applicable law, and have not previously been suspended or removed from the Service. If you use the Service on behalf of a company, trust or other entity, you represent that you have authority to bind that entity to these Terms, and “you” includes that entity.
Accounts and security
You must provide accurate, current and complete information when you create an account and keep it updated. You are responsible for all activity under your account, whether or not authorized by you, and for keeping your credentials confidential. Notify us immediately at security@notehouse.io if you believe your account has been accessed without permission. We are not liable for loss arising from unauthorized use of your account that occurs before you notify us.
You may not share an account, transfer it to another person, or create an account for anyone other than yourself or an entity you are authorized to represent. We may require identity verification before enabling certain features and may refuse, suspend or limit any account at our discretion.
The parties to a loan and your responsibilities
Every loan in the Service is an agreement solely between its lender and its borrower, each of whom is a user. Each party is solely responsible for deciding whether to enter into the loan, on what terms, with whom, and whether the other party is who they claim to be and able to perform. NoteHouse does not screen users, verify the identity of users except as expressly described in the Service, or evaluate the suitability of any loan.
You represent, warrant and agree that, for every loan you are a party to:
- the loan and its terms comply with all applicable federal, state and local laws, including usury and interest-rate limits, licensing requirements for lenders, brokers and servicers, consumer credit and disclosure laws (such as the Truth in Lending Act and state equivalents), fair lending and anti-discrimination laws, the Dodd-Frank Act and SAFE Act rules that may apply to seller financing of a dwelling, real estate recording requirements, debt collection laws, and tax reporting and withholding obligations;
- you are not making loans in the ordinary course of a business that requires a license, registration or exemption you do not hold, and you are not using the Service to make, broker or service consumer loans to the public;
- the information you enter, the payments you record, and the documents you upload are true, accurate and complete;
- you have obtained any consent of a spouse, co-owner, co-borrower, guarantor, board or other person required for the loan; and
- you will not use the Service to document a transaction that is unlawful, fraudulent, or designed to evade any law.
NoteHouse does not review your terms for legal compliance and has no duty to do so. Any dispute between the parties about a loan, including whether a payment was made, what is owed, or whether a document is enforceable, is a dispute between those parties. NoteHouse will preserve the record but will not adjudicate, mediate or take sides, and you release NoteHouse from any claim arising from the conduct of another user.
Documents and templates
Promissory notes, agreements, schedules, statements and certificates generated by the Service are templates completed with the terms you enter. They have not been prepared for your particular transaction or reviewed for compliance with the law of any state. They become binding, if at all, only when the parties adopt them by signing. You are responsible for reviewing every document before signing it and for having it reviewed by a licensed attorney, especially for large amounts, secured loans, loans involving real estate or a business, and any term you do not fully understand.
A promissory note generated by the Service does not by itself create a lien or security interest in any property. Securing a loan requires separate documents, filings or recordings that the Service does not prepare or file.
Electronic records and signatures
Consent to electronic transactions. By using the Service you consent, under the federal Electronic Signatures in Global and National Commerce Act (“ESIGN”), the Uniform Electronic Transactions Act as enacted in your state, and other applicable law, to transact business with NoteHouse and with the other party to your loan electronically; to receive these Terms, the Privacy Policy, notices, disclosures, statements and documents electronically through the Service and by email; and to sign documents electronically.
Your electronic signature. When you sign a document in the Service, the name you type, together with the record NoteHouse keeps of the signing (your account, the time, your IP address and browser, a cryptographic hash of the exact document, and the consent text shown to you), constitutes your electronic signature and is intended to have the same legal effect as a handwritten signature. You agree not to contest the validity or enforceability of a document on the ground that it was signed electronically or that the record of signing is electronic.
Hardware and software. To use electronic records you need a device with a current web browser, an internet connection, a valid email address, and the ability to view and save PDF files. By using the Service you confirm you have them.
Copies and withdrawal. You may download and print a copy of any document you have signed at any time while you have an account. You may withdraw your consent to electronic transactions by closing your account, which will end your ability to use the Service; documents already signed remain signed, and consent given to the other party to a loan is governed by the terms of that loan.
Records, computations and the ledger
The ledger for each loan is append-only: entries are not edited or deleted after posting, and corrections are made by posting further entries. Each party is responsible for the accuracy of what it records. A payment recorded by one party is not treated as confirmed until the other party confirms it or a bank debit settles.
Interest, fees, balances, schedules and payoff amounts are computed by software from the terms the parties entered, using the methods described in the Service (simple interest on outstanding principal, posted each period, with payments applied to fees, then interest, then principal, in whole cents). You are responsible for confirming that these methods and results reflect your agreement and comply with applicable law. Computations are provided as a convenience; the signed note governs if they differ.
Payments by bank debit (ACH)
Where available, the Service allows a borrower to authorize one-time or recurring debits from a US bank account that are processed by Stripe, Inc. and its affiliates (“Stripe”) and settled directly to a Stripe account belonging to the lender. Funds move between the parties through Stripe. NoteHouse never takes custody of funds and is not responsible for the timing, settlement, return or reversal of any payment.
Lenders. To receive bank debits you must open a Stripe connected account through the Service. By doing so you agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement, and you authorize NoteHouse to share information with Stripe and to act on your behalf in creating and managing the account. Stripe may require identity and business information and may hold, delay, reverse or refuse payments under its own terms and applicable law. You are responsible for any fees, chargebacks, returns, reversals and negative balances on your Stripe account, and for any taxes on amounts you receive.
Borrowers. By authorizing a debit you authorize NoteHouse, through Stripe, to debit the designated account for the amounts and on the dates described in the Service, including each scheduled installment when automatic payments are enabled, and you agree to the terms of the authorization shown at the time. This authorization remains in effect until you revoke it in the Service or by written notice to us with enough time for us and Stripe to act on it, and you may revoke it at any time. You certify that you are an authorized signer on the account and that the debits comply with the operating rules of Nacha and applicable law. If a debit is returned unpaid, you remain responsible to the lender for the payment, and you may incur fees from your bank. Reversing or disputing a settled debit through your bank does not discharge any amount owed under the note.
Fees. Any NoteHouse platform fee on bank debits is disclosed in the Service before you authorize a debit. Stripe’s processing fees are set by Stripe and are borne by the lender unless the Service states otherwise.
Errors. If you believe a debit was made in error, contact us at hello@notehouse.io and your bank promptly. Consumer accounts may have rights under the Electronic Fund Transfer Act and Regulation E that are exercised through the account-holding bank.
Fees, subscriptions and automatic renewal
The Free plan costs nothing. The Standard plan is billed in advance, monthly or annually, at the prices shown on the pricing page at the time you subscribe, plus any applicable taxes, and is processed by Stripe.
Automatic renewal. Your subscription renews automatically at the end of each billing period, at the then-current price, until you cancel. We will charge the payment method on file on each renewal date. You may cancel at any time from the plan page in your account settings or by emailing hello@notehouse.io. Cancellation takes effect at the end of the period already paid for, after which your account returns to the Free plan and features beyond that plan’s limits become read-only.
Refunds. Fees are non-refundable except where required by law or as stated on the pricing page. If we materially reduce the Service during a prepaid period, you may request a prorated refund for the remainder.
Price changes. We may change prices on at least 30 days’ notice by email. A change applies at your next renewal after the notice period; if you do not agree, cancel before then.
Failed payments. If a subscription payment fails we may retry it, notify you, and after a reasonable period downgrade your account to the Free plan.
Identity verification
You may be asked, or may choose, to verify your identity by providing your legal name, date of birth, the type and last digits of a government identifier, and images of identity documents. You authorize us and our service providers to use this information to verify your identity, to prevent fraud, and to meet legal obligations. Verification is a convenience for the other party and is not a guarantee by NoteHouse of anyone’s identity, creditworthiness or honesty.
Acceptable use
You agree not to, and not to permit anyone else to:
- use the Service for any loan or transaction that is unlawful, fraudulent, usurious, or made in the course of a business for which you lack a required license;
- use the Service to solicit loans from, or offer loans to, the public, or to operate a lending or investment business;
- misrepresent your identity, affiliation or authority, or impersonate any person or entity;
- record payments, signatures, dates, amounts or terms you know to be false, or alter or attempt to alter any record;
- send invitations to people who have not agreed to receive them, or use the Service to harass, threaten or defraud anyone;
- collect or attempt to collect a debt in a manner that violates the Fair Debt Collection Practices Act or state law;
- access, probe, scan or test the vulnerability of the Service, bypass any security or access control, or access data that is not yours;
- scrape, crawl or copy the Service other than public pages for lawful purposes, reverse engineer it, or interfere with its operation;
- upload malware, or content that infringes any right or violates any law; or
- resell, sublicense or provide the Service to third parties as a service bureau.
Your content
You retain ownership of the information you enter and the documents you upload (“Your Content”). You grant NoteHouse a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display, transmit and create derivative works of Your Content solely as needed to provide, secure and improve the Service, to generate documents and computations from it, to share it with the other party to your loan, and to comply with law. You represent that you have all rights needed to grant this license and that Your Content does not violate any law or the rights of any person.
Because loan records belong to both parties, Your Content that forms part of a loan record remains available to the other party and is retained as described in the Privacy Policy, even after you close your account.
If you send us feedback or suggestions, we may use them without obligation to you.
Intellectual property
The Service, including its software, design, text, templates, guides, trademarks and logos, is owned by NoteHouse or its licensors and is protected by copyright, trademark and other laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your own loans. You may use documents generated from our templates for the loans they were generated for. All rights not expressly granted are reserved. “NoteHouse” and the NoteHouse logo are trademarks of VisitProof LLC.
Third-party services
The Service relies on third parties, including Stripe for payments, Google Cloud and Firebase for infrastructure and authentication, Vercel for hosting, and Resend for email. Your use of those services through NoteHouse may be subject to their terms, and we are not responsible for their acts or omissions. Links to third-party sites are provided for convenience and do not imply endorsement.
Disclaimer of warranties
THE SERVICE, AND ALL DOCUMENTS, COMPUTATIONS, CONTENT AND INFORMATION PROVIDED THROUGH IT, ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, NOTEHOUSE AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. NOTEHOUSE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; THAT ANY COMPUTATION WILL BE CORRECT; THAT ANY DOCUMENT WILL BE VALID, ENFORCEABLE, COMPLIANT WITH LAW OR SUITABLE FOR YOUR PURPOSES; THAT ANY USER IS WHO THEY CLAIM TO BE; OR THAT ANY LOAN WILL BE REPAID.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NOTEHOUSE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WITHOUT LIMITING THE FOREGOING, NOTEHOUSE IS NOT LIABLE FOR ANY AMOUNT OWED UNDER ANY LOAN, FOR A BORROWER’S FAILURE TO PAY OR A LENDER’S FAILURE TO FUND, FOR THE CONDUCT OF ANY USER, FOR THE ACTS OR OMISSIONS OF STRIPE OR ANY BANK, OR FOR ANY LOSS ARISING FROM YOUR RELIANCE ON A DOCUMENT, COMPUTATION, GUIDE OR OTHER CONTENT.
THE TOTAL LIABILITY OF NOTEHOUSE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO NOTEHOUSE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED US DOLLARS ($100).
These limitations are fundamental elements of the bargain between you and NoteHouse and apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
Indemnification
You will defend, indemnify and hold harmless NoteHouse and its officers, directors, employees, agents, suppliers and licensors from and against any claim, demand, loss, liability, damage, cost or expense, including reasonable attorneys’ fees, arising out of or relating to (a) your use of the Service; (b) any loan you are a party to, including any claim by the other party or by a third party such as a guarantor, co-owner, regulator or taxing authority; (c) Your Content; (d) your breach of these Terms or violation of any law or the rights of any person; or (e) any bank debit you authorize or receive. We may assume the defense of any matter for which you must indemnify us, in which case you will cooperate with us.
Suspension and termination
You may close your account at any time from settings. We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we believe you have breached these Terms, created risk or legal exposure for us or others, or if required by law, and we may discontinue the Service on at least 30 days’ notice. On termination, your right to use the Service ends, but Sections 1, 4, 5, 7, 8, 12 through 23 survive.
Because loan records concern two parties, records of a loan remain available to the other party after you close your account, and we retain them as described in the Privacy Policy. Before closing your account you should download any documents you need.
Dispute resolution: arbitration and class action waiver
Please read this section carefully. It requires you to arbitrate disputes with NoteHouse and limits the ways you can seek relief. It does not apply to disputes between you and another user, which are governed by the terms of your loan.
Informal resolution first. Before starting arbitration or any court proceeding, you and NoteHouse agree to try to resolve the dispute informally. Send a written notice describing the dispute and the relief sought to hello@notehouse.io with “Dispute notice” in the subject line; we will send ours to the email address on your account. If the dispute is not resolved within 60 days of the notice, either party may proceed as set out below.
Binding arbitration. Except as provided below, any dispute, claim or controversy arising out of or relating to these Terms, the Privacy Policy or the Service, including its existence, validity, scope or enforceability, will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, as modified by this section. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitrator, not a court, decides all issues except those reserved to a court below. The arbitration will be held in the county where you live or another mutually agreed place, and may be conducted by video or on documents alone. AAA fees are allocated under its rules; if the arbitrator finds a claim frivolous, the losing party may be ordered to pay the other side’s fees. Judgment on the award may be entered in any court of competent jurisdiction.
Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or to stop unauthorized use of the Service.
Class action and jury waiver. You and NoteHouse agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one person or award relief affecting anyone other than the parties. To the extent any claim proceeds in court rather than arbitration, you and NoteHouse each waive the right to a jury trial. If this class action waiver is found unenforceable as to a particular claim, that claim will proceed in court, and the remainder of this section will continue to apply.
Opt-out. You may opt out of this arbitration agreement by emailing hello@notehouse.io with “Arbitration opt-out” in the subject line, your name and the email address on your account, within 30 days after you first accept these Terms. Opting out does not affect any other provision.
Changes. If we change this section after you accept these Terms, you may reject the change by emailing us within 30 days of the change; the prior version will then govern disputes between us.
Governing law and venue
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware and applicable federal law, without regard to conflict-of-laws rules. Subject to the arbitration section, you and NoteHouse consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware, for any matter not subject to arbitration. Nothing in this section affects any mandatory consumer-protection rights you have under the law of the state where you live.
Changes to these Terms
We may revise these Terms from time to time. If a change is material we will give at least 30 days’ notice by email to the address on your account or by a notice in the Service before it takes effect, except that changes required by law or that address a new feature may take effect immediately. The effective date at the top of this page shows the current version. Your continued use of the Service after a change takes effect is acceptance of the revised Terms; if you do not agree, close your account before then.
Notices and electronic communications
We may give you notice by email to the address on your account, by posting in the Service, or by other reasonable means, and notice is effective when sent or posted. You agree that all agreements, notices, disclosures and other communications we provide electronically satisfy any legal requirement that they be in writing. Notices to NoteHouse must be sent by email to hello@notehouse.io. Notices of claimed copyright infringement must identify the work, the material, and your contact information and include a good-faith statement and a statement under penalty of perjury as required by 17 U.S.C. §512.
California residents. Under California Civil Code §1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
General
Entire agreement. These Terms, the Privacy Policy, and any authorization or disclosure you accept in the Service are the entire agreement between you and NoteHouse about the Service and supersede all prior agreements. Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. Waiver. Our failure to enforce a provision is not a waiver of it. Assignment. You may not assign or transfer these Terms or your account without our written consent; we may assign them without restriction, including in a merger, acquisition, reorganization or sale of assets. No third-party beneficiaries. Except as stated in the indemnification and limitation of liability sections, these Terms create no rights in anyone other than you and NoteHouse. Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including failures of third-party services, banks or networks. Export and sanctions. You represent that you are not located in, and are not a national or resident of, a country subject to US embargo, and are not on any US government restricted-party list. Relationship. You and NoteHouse are independent contractors; nothing creates a partnership, joint venture, agency or employment relationship. Headings are for convenience only.
