Promissory note

$25,000.00Portland, Oregon
15 October 2026

For value received, the undersigned, Daniel R. Ellison (“Borrower”), of Seattle, Washington, promises to pay to the order of Margaret A. Ellison (“Lender”), of Portland, Oregon, at such place as Lender may designate in writing, the principal sum of Twenty-five thousand dollars and no cents ($25,000.00), together with interest on the unpaid principal balance from the date the funds are advanced at the rate of 6.00% per year.

  1. 1.Payment. Principal and interest are payable in 36 consecutive monthly installments of $760.55 each, beginning 15 November 2026 and continuing on the same day of each month thereafter. The final installment is due 15 October 2029, when all unpaid principal and accrued interest is due and payable in full.
  2. 2.Application of payments. Each payment is applied first to any fees then owing, next to accrued interest, and the remainder to principal.
  3. 3.Prepayment. Borrower may prepay this note in whole or in part at any time without penalty. A partial prepayment is applied to principal and does not excuse any later scheduled installment.
  4. 4.Late charge. If any installment is not received within 10 days after its due date, Borrower will pay a late charge of $25.00 for that installment.
  5. 5.Default. If Borrower fails to pay any installment within 30 days after its due date, Lender may, by written notice, declare the entire unpaid balance of principal and accrued interest immediately due and payable.
  6. 6.Governing law. This note is governed by the laws of the State of Oregon. Borrower waives presentment, demand, protest and notice of dishonor.

What NoteHouse does

A private loan needs three things to go well. NoteHouse handles all three.

  • Document it

Enter the amount, rate, term and payment schedule. NoteHouse drafts a promissory note from those terms, both parties sign it electronically, and the signed copy is stored with the loan.

  • Track every payment

Every payment is recorded against an amortization schedule. Interest is posted each period on the outstanding principal, and each payment is applied to fees, then interest, then principal. The balance is always current.

  • Keep both sides square

Lender and borrower see the same ledger. One side records a payment, the other confirms it. Reminders go out before a due date, and a payoff statement shows exactly what settles the loan on any given day.

The loan is a ledger

Interest for each period is computed on the balance after the previous payment. Pay extra and the later installments shrink. Miss one and the schedule says so.

Who it is for

Families lending for a first home, a car, tuition or a hard month. A note with a schedule keeps a gift and a loan from being confused with each other, which matters at tax time and at estate time.

Friends and colleagues who want to help without putting the friendship at risk. The record carries the awkward conversations so the people do not have to.

Private investors who fund a handful of loans a year and want each one documented, serviced and closed out properly, without running a spreadsheet for every borrower.

Small businesses borrowing from an owner, a partner or a relative. A signed note and a clean ledger are what an accountant, a bank or a buyer will ask for later.

Built to be relied on

The ledger is append-only and hash-chained, so a posted entry cannot be altered without breaking every entry after it. Documents are hashed at the moment of signing. Nothing is lent, held or moved by NoteHouse.
